IMC Industrial Group, a leading provider of integrated industrial supply chain and logistics solution, intended to divest all of its indirect ownership of shares in PT Nusa Indah Kalimantan Plantations, a plantation company in East Kalimantan. With the completion of this share divestment transaction, the client will focus its business to their core sector, shipping. The buyers, a group company engaged in plantation business field acquired 100% shares from the sellers.

In this transaction, Dentons HPRP acts as a legal counsel for the seller and becomes the sole legal counsel in the transaction as there is no legal counsel other than the buyer’s in-house counsel. The unique part of this transaction was that both seller and buyer are Dentons HPRP’s clients and we need waivers/clearance from buyer that in this transaction we would represent seller.
